Payment terms will be specified in the commercial proposal or purchase order agreed between both parties. Unless otherwise stated in writing:

• All prices are exclusive of GST and other applicable taxes unless explicitly stated.
• Invoices are to be settled within the agreed credit period as per the purchase order or contract.
• Delayed payments may attract interest as per the terms agreed in the commercial proposal.
• Coolroof® reserves the right to withhold dispatch or installation until payment confirmation is received.

All transactions are in Indian Rupees (INR) unless a separate written agreement specifies otherwise.

Material dispatch is coordinated by our stores team in conjunction with our logistics partners. Delivery timelines are estimates and may be subject to factors outside our control, including courier delays, weather conditions, or regional accessibility.

• Delivery timelines — will be communicated at the time of order acceptance and confirmed in the dispatch notification.
• Risk of loss — for materials passes to the customer upon delivery to the agreed site or address.
• Installation services — are scheduled by our team and subject to site readiness, access, and weather suitability.
• Customer responsibilities — include ensuring that the site is accessible, surfaces are clean and prepared, and that all necessary permissions are in place prior to installation.

Upon completion of installation, a Final Tax Invoice and Measurement Sheet (M Sheet) will be submitted to the client. Formal project handover takes place upon client sign-off.

Coolroof® products are engineered for durability and long-term performance. Our warranty policy is as follows:

• Product warranty — covers manufacturing defects and significant performance degradation under normal use conditions, for the period specified in the product datasheet or commercial agreement.
• Application warranty — (for turnkey installations) is provided as a single-point warranty covering both material and application by our team.
• Warranty claims are subject to inspection by our technical team and are void if the product was applied incorrectly, on an unsuitable substrate, or under conditions outside our technical specifications.
• The warranty does not cover damage caused by structural failure of the roof, vandalism, Acts of God, or improper maintenance by the client.

Given the B2B nature of our business and the specialised formulation of our products, the following return and cancellation policy applies:

• Order cancellations — must be communicated in writing before dispatch. Once material has been dispatched, cancellation is not possible.
• Returns — are accepted only for products that are damaged in transit or defective at the time of receipt. Claims must be raised within 48 hours of delivery with photographic evidence.
• Custom packing orders — and opened or partially used packing are non-returnable.
• Refunds — where applicable, will be processed within 14 working days from the date of return confirmation, via the original payment method or bank transfer as agreed.

All content on www.coolroofpaint.com, including but not limited to the Coolroof® brand name, logo, product names (COOLROOF®, Jalproof), text, images, videos, technical datasheets, certifications, and website design, is the exclusive intellectual property of Indian Insulation and Engineering.

• No content from our website may be reproduced, republished, distributed, or commercially exploited without prior written permission.
• Trademarks including Coolroof® and Jalproof may not be used in any manner that implies endorsement or affiliation without written authorisation.
• Certifications and technical test data (ASTM, LEED, GRIHA, IGBC) published on our website are for informational purposes and relate specifically to our tested products.

Unauthorised use of our intellectual property may result in legal action under applicable Indian intellectual property laws.

To the fullest extent permitted by applicable law, Coolroof® and Indian Insulation and Engineering shall not be liable for:

• Any indirect, incidental, consequential, or punitive damages arising from the use of our products or services.
• Loss of profit, revenue, business, or data resulting from reliance on information published on our website.
• Failure of product performance due to incorrect application, unsuitable substrate condition, or use outside the product's technical specifications.
• Delays in delivery or installation caused by circumstances beyond our reasonable control (force majeure), including natural disasters, labour strikes, or government restrictions.

Our total liability in connection with any order or service shall not exceed the value of that specific order or service as invoiced to the customer.

You agree to indemnify, defend, and hold harmless Coolroof® (Indian Insulation and Engineering), its directors, employees, agents, and partners from and against any claims, liabilities, damages, losses, or expenses (including legal fees) arising from:

• Your breach of these Terms & Conditions.
• Misuse of our products in a manner inconsistent with our technical recommendations.
• Any false or misleading information you provided during the enquiry or ordering process.
• Your violation of any applicable law or the rights of any third party.

These Terms & Conditions shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles.

• Jurisdiction — any disputes arising from these Terms or your use of our website or services shall be subject to the exclusive jurisdiction of the courts in Mohali, Punjab, India.
• Dispute resolution — before initiating legal proceedings, both parties agree to attempt resolution through good-faith negotiation for a period of 30 days from the date the dispute is raised in writing.
• Arbitration — if the dispute is not resolved through negotiation, both parties may agree to submit it to arbitration under the Arbitration and Conciliation Act, 1996 (India), with proceedings conducted in Mohali.
